1. Acceptance of Terms

By installing, accessing, or using BetterBids ("the Software"), you ("the User") agree to be bound by these Terms and Conditions in their entirety. If you do not agree to these terms, do not install or use the Software.

2. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE DEVELOPER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Any implied warranty of merchantability;
  • Any implied warranty of fitness for a particular purpose;
  • Any warranty that the Software will be uninterrupted, error-free, or free of harmful components;
  • Any warranty regarding the accuracy, reliability, or completeness of any data, schedules, or output produced by the Software.

No oral or written information or advice given by the developer shall create any warranty.

3. No Guarantee of Continued Operation

THE DEVELOPER MAKES NO GUARANTEE THAT BETTERBIDS WILL CONTINUE TO OPERATE AS INTENDED, OR AT ALL, AT ANY FUTURE DATE.

The developer reserves the right, at its sole discretion and without prior notice, to:

  • Discontinue, suspend, or terminate the Software or any part of its services at any time;
  • Modify, alter, or remove features or functionality without notice;
  • Cease maintenance, updates, or support at any time.

No refund, credit, compensation, or recourse of any kind shall be owed to any User as a result of any discontinuation, suspension, or termination of the Software or its services, regardless of whether the User has paid a fee, licence, or subscription.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY:

  • Direct, indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, business, or goodwill;
  • Costs of substitute goods or services;
  • Damages arising from reliance on any schedule, pairing, or output generated by the Software;
  • Damages arising from errors, omissions, interruptions, or defects in the Software;
  • Damages arising from the discontinuation or suspension of the Software or any of its services;

WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation applies even if any remedy set forth herein fails of its essential purpose.

5. User Responsibility

The User assumes sole and full responsibility for:

  • Verifying the accuracy of all schedules, pairings, and data produced by the Software before acting on them;
  • Maintaining appropriate backups of all data;
  • Ensuring the Software is suitable for their intended use case;
  • Compliance with all applicable laws and regulations in connection with their use of the Software.

6. Indemnification

The User agrees to indemnify, defend, and hold harmless the developer from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with the User's use of the Software or violation of these Terms.

7. No Professional Advice

The Software does not constitute legal, financial, operational, or any other professional advice. The developer makes no representation that any output of the Software is suitable for any specific regulatory or operational requirement.

8. Modifications

The developer reserves the right to modify these Terms and Conditions at any time. Continued use of the Software after any such changes constitutes acceptance of the new terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the developer resides, without regard to conflict of law principles.

10. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
